Terms of Service

These terms govern your use of smartbranddeals.com and sbdailydeals.com and any order you place with Smart Brand Deals, LLC ("Smart Brand Deals", "we", "us"). By using our sites or submitting an order request, you agree to these terms.

1. Who we serve

Smart Brand Deals is a wholesale distributor selling to businesses. Our sites and pricing are intended for business buyers purchasing for resale. You must be at least 18 years old and authorized to transact on behalf of the business you represent.

2. Pricing and availability

Prices, quantities and product details shown on our sites and in our deal sheets are current as of publication and are subject to change without notice. Inventory moves quickly and listed availability is not a guarantee that a lot remains available.

3. Order requests are not binding orders

Submitting the order form or a purchase order through our sites is a request, not an accepted order. Nothing is reserved and no contract is formed until we confirm availability, pricing and freight and issue an invoice. We may decline or adjust any request.

4. Payment

Payment terms are stated on your invoice. Unless agreed otherwise in writing, invoices are due before goods ship. We may require payment to clear before releasing inventory.

5. Shipping and delivery

Shipping terms, method and timing are confirmed on your invoice. Delivery estimates are estimates only and are not guaranteed. Risk of loss passes according to the shipping terms stated on the invoice.

6. Returns and claims

Inspect all shipments on arrival. Claims for shortages, damage or incorrect product must be made in writing within five business days of delivery, with photographs where relevant. Wholesale lots are generally sold as-is and are not returnable for reasons other than our error.

7. Text messaging (SMS program)

Smart Brand Deals, LLC operates an SMS program for business customers and prospects. You join it by entering your mobile number in the chat widget at sbdailydeals.com/sms and ticking the consent checkbox, which is optional and unticked by default. You must be at least 18 years old to opt in.

Agreeing to these terms does not sign you up for text messages. SMS consent is given only by ticking the separate, optional checkbox on the opt-in page. That checkbox is unchecked by default and is never required. You can browse our sites, request the deal sheet, book a call, place orders and buy from us without ever agreeing to receive text messages, and declining or withdrawing SMS consent has no effect on pricing, availability or service.

Replies to questions you send us about products, availability or wholesale pricing
Updates on an order, quote or purchase order you have requested
Notice when inventory you asked about returns to stock
Our weekly deal sheet and limited-time wholesale offers

Message frequency varies and depends on your activity with us.
Message and data rates may apply. Your carrier's standard rates apply; we do not charge for messages.
To opt out, text STOP to any message from us at any time. You will receive one confirmation message and no further messages.

Carriers are not liable for delayed or undelivered messages.
Consent to receive text messages is not a condition of any purchase.

No mobile information is sold, rented or shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent are not shared with any third party, except with the service providers strictly necessary to transmit the messages.

8. Brands and intellectual property

All brand names, trademarks and product images referenced on our sites belong to their respective owners. They are used to identify the goods we distribute and do not imply any endorsement of Smart Brand Deals by those brand owners.

The content of our sites, including text, layout and our own logos, belongs to Smart Brand Deals. You may not copy or reuse it without our written permission.

9. Your responsibilities as a reseller

You are responsible for complying with the policies of any marketplace or channel where you resell, and with applicable law. We provide invoices suitable for distributor verification, but we cannot guarantee any particular marketplace outcome, including approval to sell in a gated brand or category.

10. Limitation of liability

To the fullest extent permitted by law, Smart Brand Deals is not liable for indirect, incidental, special or consequential damages, including lost profits or lost sales opportunities. Our total liability for any claim is limited to the amount you paid for the goods giving rise to the claim.

11. Governing law

These terms are governed by the laws of the State of North Carolina, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in North Carolina.

12. Changes

We may update these terms. The date at the top of this page shows when they were last changed. Continued use of our sites after a change means you accept the updated terms.
